You are responsible for keeping your profile information, including all passwords, confidential. You shall be solely responsible and accept all liability for your (including your agents’, employees and representatives’) changes, edits, modifications or additions to the information and/or data you receive through Trending5000. We are not responsible if your profile or account is compromised if any of your devices containing your profile (such as a mobile device) is lost or stolen. Any suggestions or ideas that you submit to us become our property and can be used by us for any purpose. We will not pay you for your submissions. 15. You acknowledge that posting Content that violate the terms of this Agreement, the rights of others, or any applicable law or regulation, may result in civil or criminal liability. You represent and warrant to us that your conduct on Trending5000 will at all times comply with the terms of this Agreement.

Data Backup

You are solely responsible for backing up any Content that you store on any customizable area on Trending5000. We are not responsible for the loss of any data or Content you elect to store on Trending5000. If for any reason the data is lost on Trending5000, we, at Tredngin5000, will not be held responsible for that and the registered users and businesses will have to re?create their profiles with their content.

Your Representations

By submitting Content on Trending5000, (a) you represent and warrant that your Content is true, accurate, current, complete and that you own or have express permission to post the materials on Trending5000; (b) that you have the authority to post such Content and that such submission will not violate any trade secrets, confidential information, or violate any securities laws; (c) in the event your Content contains the name, image, video, audio or participation by individuals, performers or entities other than you, that you have obtained such parties consent to their appearance or use of their contribution in the Content that you upload; and (d) you agree to indemnify and hold us harmless from all claims, costs and expenses (including legal expenses) arising out of any Content posted or published by you that are in breach of this section.

Optional Services

Trending5000 may offer from time?time additional, optional services on the website for business owners and marketing organizations. Premium Business Listing is a paid service offered on Trending5000, which will be subject to additional terms, conditions and limitations for the user for such services. We may modify and change these offerings at any time.

Premium Business Listing Service – Description and Important Disclaimers

Trending5000 Premium Business Listing Service is an optional fee?based service provided by Trending5000 to move your company listing into a higher ranking in the Trending5000 Company browse and search results list for a 30?day (“Monthly”) or twelve month period. Each category and location combination enables the participant to feature one (1) company text links in category and location combinations. Your Premium Business Listing is billed at time of submission.

A credit card is required to set?up the Premium Business Listing for the Monthly or annual period. All Premium Business Listings must conform to the Trending5000 editorial guidelines, and must be relevant topically to the category and location. All Premium Business Listings are subject to final approval by the Trending5000 editorial team, which in their sole discretion may reject a Premium Business Listing request for any reason.

Trending5000 reserves the right to decide whether, where, and how a Premium Business Listing is listed.

Trending5000 reserves the right to reject a Premium Business Listing submission. All fees paid for the Premium Business Listing Service are NON?REFUNDABLE. Premium Business Listing Service Participation

This Premium Business Listing Service shall be effective on the date you receive email confirmation that your Premium Business Listing was added to the Premium Business Listing Service and will continue for an initial term (“Initial Term”) of 30 days or one year from this date. The Initial Term shall be renewed automatically for the same length of term as the Initial Term (a 30?day or one year) each (“Renewal Term”) and the Monthly or annual fee will be billed to your credit card at the start of a Renewal Term. To terminate this service, you must cancel any time before the start of a Renewal Term. Upon cancellation, your Premium Business Listing will remain active until the end of your Initial Term or a Renewal Term, unless otherwise terminated by Trending5000. If you request that your Premium Business Listing be removed before the end of the Initial Term or a Renewal Term for which you have pre?paid the recurring Monthly or annual fee, you agree that Trending5000 will not be required to refund any portion of such fee.

Fees and Payment – Optional Services and Content

You agree to pay the applicable fees and charges for purchases that you make from us. We may limit the number of promotions for which you may be eligible in a given period. Your payment and renewal terms at the time you make a purchase from Trending5000 are disclosed in these Terms of Service or in the shopping cart; you can also review your payment terms from time to time by visiting the “My Account” area on Trending5000.

If you are making a Content purchase or obtaining an optional service from Trending5000, you must give us accurate billing and payment information and keep this information up?to?date. Every time you make a purchase or obtain a service from Trending5000, you reaffirm that (i) we are authorized to charge your designated payment method; (ii) we may submit charges incurred under your profile for payment; and (iii) you will be responsible for such charges. YOU AGREE THAT WE MAY CHARGE YOUR PAYMENT METHOD FOR ALL AMOUNTS DUE TO US WITHOUT ADDITIONAL NOTICE OR CONSENT unless required otherwise by law. If we do not receive payment from your designated payment method, you agree to pay all amounts due upon demand by us. You are responsible for all charges incurred under your profile made by you or anyone who uses your account associated with your profile. We may, in our discretion, post charges to your payment method individually or may aggregate your charges with other purchases you make on Trending5000. You agree that any submissions you make for electronic purchases constitute your intent and agreement to be bound by the terms of and pay for such purchases.

Access Costs

You must provide at your own expense the equipment and Internet connections that you will need to access and use Trending5000. Those costs are in addition to any purchases you make from Trending5000. If you are accessing a Service through a telephone line, please call your local

phone company to determine if the access numbers you select are subject to long distance or other toll charges at your location.

Mobile and Wireless Services

We may offer from time to time mobile applications and services. If you access Trending5000 through mobile and/or wireless applications (e.g., cell phones), your carrier, such as a wireless carrier, may charge fees for alerts, text messaging (including receiving/sending instant messages and e?mail), web browsing and other services that require the use of airtime and wireless data services. Check with your carrier to verify whether there are any such fees that may apply to you. If you register for any services from Trending5000.com that are delivered by text messages or short messaging service, you authorize delivery of such messaging services to the wireless unit and number designated by you, you acknowledge that you are responsible for determining any standard text messaging fees that you may incur from your carrier while using the service, and you authorize us to deliver the messaging service to you until you elect to opt out of such messaging service.

When you use a location enabled service provided by us, we may collect and process information about your actual location. For example, when you conduct a search, the approximate location of your device will be sent to us along with the search terms, time and date of your search and a unique identifier generated by the application. This information will be used to provide you with Trending5000 services. By using a Trending5000 location based services, you authorize us to locate your device and to record, compile and display your location in accordance with this Agreement and the Trending5000 Privacy Policy. You agree that Google, Inc. may collect information when you use its mapping applications provided on Trending5000 under its privacy policy located at http://www.google.com/privacy.html.

You may withdraw this consent at any time by going to the location services setting on your device and turn off the global location service settings and/or the other location settings on your device.

Refund Policy

Due to the type of the information and services being sold, we unfortunately cannot accept returns of articles, profiles, lists or reports once they have been delivered. We cannot and do not warrant that the information available through this service is accurate, complete or updated but rather is provided to the user ‘as is’.

Please be sure to read all available information about a report before you place your order. We can only discontinue the contract when it finishes and you inform us in writing with your desire of not continuing.

Billing Problems and Disputes

You must notify us about any billing problems or discrepancies within 60 days after they first appear on the statement you receive from your bank. If you do not bring such problems or discrepancies to our attention within 60 days, you agree that you waive the right to dispute such problems or discrepancies.

Our Contributors and we make no express warranties or guarantees about Trending5000 and its Content. TO THE EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES THAT TRENDING5000 AND ITS CONTENT ARE MERCHANTABLE, OF SATISFACTORY QUALITY, ACCURATE, FIT FOR A PARTICULAR PURPOSE OR NEED, TIMELY, RELIABLE OR NON INFRINGING. WE DO NOT GUARANTEE THE RESULTS THAT YOU MAY OBTAIN FROM YOUR USE OF TRENDING5000. WE DO NOT GUARANTEE THAT TRENDING5000 WILL MEET YOUR REQUIREMENTS. YOU AGREE, AND YOU WILL REQUIRE THAT ANY THIRD PARTY WHO INDIRECTLY USES THE CONTENT PROVIDED BY YOU (“THIRD PARTY USER”) TO AGREE, THAT IN NO EVENT SHALL WE OR OUR CONTRIBUTORS BE LIABLE FOR THE RESULTS OF ANY THIRD PARTY USER’S USE OR RELIANCE UPON TRENDING5000, FOR ITS INABILITY OR FAILURE TO CONDUCT ITS BUSINESS, OR FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST DATA OR LOST PROFITS, WHETHER IN TORT (INCLUDING NEGLIGENCE), CONTRACT, STRICT LIABILITY, UNDER STATUTE, IN EQUITY, AT LAW, OR OTHERWISE.

IN NO EVENT SHALL OUR OR OUR CONTRIBUTORS CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS RELATING TO THE USE OF THE TRENDING5000 SERVICES EXCEED THE TOTAL AMOUNT YOU PAID FOR THE PARTICULAR TRENDING5000 SERVICE WITHIN AN IMMEDIATE TWELVE MONTH PERIOD.

Termination

We may cancel or suspend your access to Trending5000 at any time, without cause and/or without notice. Your right to use Trending5000 will end once your service is terminated, and any data you have stored on Trending5000 may be unavailable later. We may cooperate with legal authorities and/or third parties in the investigation of any suspected or alleged crime or civil wrongdoing.

Indemnification

Upon a request by us, you agree to defend, indemnify, and hold harmless us and our employees, contractors, officers, and directors from all liabilities, claims, and expenses, including attorney’s fees that arise from your use or misuse of Trending5000. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

Electronic Contracting and Notices

You agree to transact with us electronically. You agree that these Terms of Service have the same effect as an agreement signed in writing. You also agree that we may send to you in electronic form any privacy or other notices, terms, disclosures, reports, documents, communications or other records regarding Trending5000 (collectively, “Notices”) or anything related to your use of Trending5000. We can send you electronic Notices (1) to the e?mail address that you provided to us during registration; (2) via text message if you elected to receive any mobile alerts, (3) by posting the Notice on Trending5000’s web page, mobile pages or applications. The delivery of any Notice from us is effective when sent by us, regardless of whether you read the Notice when you receive it or whether you actually receive the delivery. You can withdraw your consent to receive Notices electronically by canceling or discontinuing your use of the applicable service.

Our terms and other Notices are designed for access on most current Internet Web browsers and on the mobile devices in which we offer mobile applications and services.

In order to transact with us electronically, you must have a device and an Internet browser capable of accessing and browsing the Internet. If you wish to print a copy of the Term of Services, your device must have an access to a printer that can print web pages from the print function of your Internet browsers. Also keep in mind that the “print” features on many devices and browsers will enable you to save a copy of the terms as a “note” or “PDF” file on your device.

Entire Agreement

This Agreement and any supplemental terms, policies, rules and guidelines posted on Trending5000 constitute the entire agreement between you and us and supersede all previous written or oral agreements. If any part of this Agreement is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.

Assignment

We may assign this contract at any time without notice to you. You may not assign this contract to anyone else.

Procedure for Making Claims of Copyright Infringement

We respect the intellectual property of others, and we ask our contributors and those posting to this site to do the same. If you believe that your copyrighted work has been copied and is

accessible on this site in a way that constitutes copyright infringement, you may notify us by providing our copyright agent with the following information:

1. The electronic or physical signature of the owner of the copyright or the person authorized to act on the owner’s behalf.

2. A description of the copyrighted work that you claim has been infringed and a description of the infringing activity.

3. Identification of the location where the original or an authorized copy of the copyrighted work exists, for example the URL of the website where it is posted or the name of the book in which it has been published.

4. Identification of the URL or other specific location on this site where the material that you claim is infringing is located; you must include enough information to allow us to locate the material.

5. Your name, address, telephone number, and email address.

6. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.

Events:

Hirer is the businesses registered on Trending5000.com and either attending, exhibiting or organizing any event.

1. Charges

All charges must be paid before the start of the booked period or in case of more than one booking period. Trending5000.com will require payment for certain major events in full 14 days prior to the date of booking. In the event of charges not being paid in accordance with these conditions all further booked periods may be cancelled forthwith. The business may be required to deposit a sum of money as security for the payment charges and compliance with these conditions.

2. Admission

Trending5000 may refuse the admission of any person, or may require any person to leave the facility without giving a reason for doing so

3. Cancellation by the hirer

In the event of the hirer cancelling or failing to take up a major event, the full charge will be liable unless 10 days’ notice is given of cancellation. In the event of less than 10 days’ notice given, and an alternative date not agreed upon, the management reserves the right to withhold a cancellation fee of 50% for cancellations offering 9-5 days’ notice or 100% for cancelations offering 4-1 (days’ notice). In the event of cancellation by the hirer prior to a minor event a minimum of 48 hours’ notice should be given. A cancellation fee of 50% will be charged should this not be provided. For all repeat cancellations (two or more) a fee of 100% will be charged.

4. Refusal or cancellation of bookings by Trending5000.com

Trending5000.com reserves the right to refuse any application or to cancel or terminate any booking for any reason whatsoever, and without being bound to give any reason for doing so. The company will not as a result of the exercise of this right incur any liability for breach of contract or otherwise be held liable for any expenses incurred by the hirer either indirectly or directly from such refusal, cancellation or termination. Any charges of an appointed part thereof will be refunded, subject to condition 3 hereof.

5. Photography and videography

Trending5000.com will hire professional photgrapher/videographer for its own events. All Photoes and videos taken in the event is considered a property of the organizer and may be used without any consent of the photographed person(s) (unless the person/persons clearly put in a writting a request not to be photgraphered). The same condition applies for Media agencies present at Trending5000.com events like TV nad press who  may take photoes/videos for their own use with Trending5000.com consent.  

5. Property left at the facility

Trending5000.com may remove and store any property left by the hirer after the termination of the booking. If after the hirer fails to collect the property within 7 days the company may dispose of the property without further notice to the hirer.

6. Loss or damage

Trending5000.com cannot accept any responsibility for the loss or damage to vehicles parked at the facility or to any personal belongings left on or in the vicinity of the facility.

7. Damage caused

The hirer shall on demand pay to the company the reasonable amount incurred by the company in repairing or replacing as appropriate together with the company administration fee of 10% of the repair or replacement cost any damage to the fixtures, fitting, apparatus, equipment, furniture or other contents thereof by a person participating at the invitation of the organisation in the use of the facilities or premises (fair wear and tear excluded). The company whose decision shall be final shall certify the amount of such damage.

8. Responsibility of the hirer

The hirer shall ensure that all users of the centre under or by virtue of the hiring comply with this document and general facility regulations. The hirer shall be liable to the company for any breach thereof or of these conditions as if such breach had been committed by the hirer. The hirer shall ensure that a full and sufficient risk assessment for their activities has been carried out. The hirer will co-operate with the facility on all matter relating to health and safety. The company will not be responsible for any personal injury, accident or death, loss or any other damage to property bought on to the premises in connection with the hire, in respect of fire, theft, loss or any other damage. The hirer, participants, spectators or invitees should make separate insurance arrangements in respect to such matters. Trending5000.com reserves the right to require the hirer to produce prior to the booking a letter from the insurers stating such insurances are held as deemed necessary by the manager. The hirer shall not alter or interfere with any equipment or fitting of the facility or structure thereof. The hirer is responsible for collecting and keeping the following information for each session that takes

9. Insurance

It is advisable for the hirer to take out a third party liability insurance with an insurance company of repute, to cover loss of or damage to property (whether the company’s or belonging to an individual) and injury or death of any person caused by the hirers negligence during the hire period or in connection with it. The hirer must satisfy themselves that the level of cover insured for will protect them from any potential claim. All participants, spectators and invitees are responsible for obtaining appropriate insurance.

10. Indemnity

The hirer shall indemnify and keep indemnified the company against all claims, demands, action or proceedings in respect of death or injury without limit to any person or damage to property belonging to any person during the course of, or in consequence of the hiring unless caused by the company’s negligence.

11. First aid and emergency incident

In the event of an accident, incident and/or injury the hirer will at once alert a member of staff who will take the appropriate action. A hirer may be requested to provide additional first aid cover for large events, this must be provided by a recognised organisation. All first aid treatments, incidents and emergencies must be recorded in accordance with the company’s current procedures.

12. Equipment

Only approved equipment may be used in the facility and the management reserve the right to bar the use of any equipment that is deems unsuitable.

13. Vacation of the premises

The hirer must ensure that the hired part of the facility and any equipment used is left clean and tidy and that all equipment/products is left in the same condition as found at the end of the period of use. The company reserves the right to levy an additional cleaning charge should the premises be left in such a condition as to necessitate unreasonable extra cleaning. Damage to equipment will be charge to the hirer at the cost of repair plus a 10% administration fee. If damaged equipment cannot be repaired then the full replacement fee will be charged to the hirer.

14. Visitors

The hirer is responsible for ensuring visitors are aware of facility hire conditions and general rules.

15. Sale of goods

The hirer shall not without prior consent in writing of the facility manager sell or supply or permit any other person to sell or supply or offer goods for sale of any kind in the facility.

16. Smoking

Smoking is not permitted anywhere unless stated otherwise

17. Health and safety

The hirer agrees to comply with the risk control measures that form part of the risk assessment for the premises. These measures included compliance with the rules and advice of relevant governing bodies for particular activities.

18. Breach of conditions

The hirer shall be responsible for ensuring all persons using the facility arising out of or in consequence of hiring comply with the conditions of hire. In the event of the hirer breaching any of the conditions of hire the company may at Trending5000.com’s discretion cancel the booking and all future bookings. The hirer shall remain liable for all charges including cancelled future events.
